State and Federal Taxes *The client will not: withhold FICA (Social Security and Medicare taxes) from the sole proprietary company code payments or make FICA payments on the sole proprietary company code behalf make state or federal unemployment compensation contributions on the sole proprietary company code behalf, or withhold state or federal income tax from the sole proprietary company code payments. The sole proprietary company code shall pay all taxes incurred while performing services under this Agreement—including all applicable income taxes. If the sole proprietary company code is not a corporation, self-employment (Social Security) taxes. The sole proprietor knowingly submits false claims for payment or other material false or fraudulent records or certifications while performance is inactive. C. Confidentiality *The sole proprietary company code acknowledges that it will be necessary for MySpeedyX® LLC to disclose confidential and proprietary information to the sole proprietary company code for the sole proprietary company code to perform duties under this Agreement. The sole proprietary company code acknowledges that disclosure to a third party or misuse of this proprietary or confidential information would irreparably harm MySpeedyX® LLC. Accordingly, the sole proprietary company code will not disclose or use, either during or after the term of this Agreement, any proprietary or confidential information of MySpeedyX® LLC without MySpeedyX® LLC prior written permission except to the extent necessary to perform services on MySpeedyX® LLC’s behalf. Proprietary or confidential information includes the written, printed, graphic, or electronically recorded materials furnished by MySpeedyX® LLC for the sole proprietary company code to use any written or tangible information stamped “confidential,” “proprietary,” or with a similar legend, or any information that MySpeedyX® LLC makes reasonable efforts to maintain the secrecy of • business or marketing plans or strategies, customer lists, operating procedures, trade secrets, design formulas, know-how and processes, computer programs and inventories, discoveries, and improvements of any kind, sales projections, and pricing information belonging to customers and suppliers of MySpeedyX® about whom the sole proprietary company code gained knowledge as a result of the sole proprietary company code services to MySpeedyX® LLC. Upon termination of the sole proprietary company code services to MySpeedyX® LLC, or at MySpeedyX® LLC request, the sole proprietary company code shall deliver to MySpeedyX® LLC all materials in the sole proprietary company code possession relating to MySpeedyX® LLC business. The sole proprietary company code acknowledges that any breach or threatened breach of Clause 18 of this Agreement will result in irreparable harm to MySpeedyX® LLC, for which damages would be an inadequate remedy. Therefore, MySpeedyX® LLC shall be entitled to equitable relief, including an injunction, in the event of such breach or threatened breach of Clause 18 of this Agreement. Proprietary Information *The product of all work performed under this Agreement (“Work Product”), including without limitation all notes, reports, documentation, drawings, computer programs, inventions, creations, works, devices, models, work-in-progress, and deliverables, will be the sole property of the MySpeedyX® LLC. At this moment, the sole proprietary company code assigns to the MySpeedyX® LLC all rights, titles, and interests therein, including but not limited to all audiovisual, literary, moral rights, and other copyrights, patent rights, trade secret rights, and other proprietary rights therein. The sole proprietary company code retains no right to use the Work Product and agrees not to challenge the validity of the MySpeedyX® LLC ownership in the Work Product. The sole proprietary company code at this moment assigns to the MySpeedyX® LLC all right, title, and interest in all photographic images and videos or audio recordings made by the MySpeedyX® LLC during the sole proprietary company code work for them, including, but not limited to, any royalties, proceeds, or other benefits derived from such photographs or recordings.
